I have one C-Corporation that was formed in 2007 in state of Delaware but also registered as "doing business in" in California.
We filed Taxes in 2007, 2008. Even if company was not making any money, we ended up paying tax $800 to CA state and also some amount to Fed along with Registered agent fee and annual report filing fees for the years 2007 and 2008.
However in year 2009, we did not pay anything. Our Registered Agent "Agents & Corporations Inc" resigned as agent due to lack of payment.
When I called "Agents & Corporations Inc", they said they will send me info on how to reinstate on my corporation again, but not sure if I want to do that either.
Company has NEVER EVER made a single dime.
My goal is to deactivate this corporation or dissolve the corporation.
If I try to officially dissolve it, then I would need to pay following amount,
- $800 CA Tax for year 2009
- $800 CA Tax for year 2010
- Fed Tax for years 2009 and 2010.
- Registered agent fees for 2008, 2009, 2010
- Cost of reinstating in state of Delaware
- Cost of dissolving corporation
I am wondering if I file Federal Tax as FINAL, and do not do anything. will corporation be dissolved by itself?
If I don't dissolve the corporation, what consequences I can face in future?
